Partner Terms & Conditions

1. Agreement Overview

These Partner Terms govern the relationship between LongevityOptimize (the "Platform") and partners who wish to white-label our platform, integrate our API, or resell our services (collectively, "Partners").

2. Partner Types

White-Label Partners

Organizations that license the platform under their own branding to serve their customers.

API Partners

Businesses that integrate our API into their existing systems and applications.

Affiliate Partners

Individuals or organizations that refer customers to our platform for a commission.

3. Pricing and Fees

White-Label Partnership

  • Setup Fee: $799.00 one-time (includes platform configuration and onboarding)
  • Monthly Maintenance: $399.00/month (includes hosting, updates, support)
  • Annual Discount: Pay yearly upfront and save 10% ($4,308.00/year)

Optional Services

  • Branding Package: $99.00 (logo design, color scheme, unlimited revisions)
  • Domain Services: $29.99/month (domain registration, DNS management, SSL certificate)
  • Domain Annual: $323.89/year (save 10% when paid annually)

Revenue Sharing

Partners receive a revenue share based on subscription tier:

  • Free tier users: No revenue share
  • Pro tier ($29/month): 20% revenue share to partner
  • Premium tier ($99/month): 25% revenue share to partner

4. Partner Obligations

Compliance

Partners must:

  • Comply with all applicable laws and regulations
  • Maintain proper medical licensing if providing health services
  • Follow HIPAA guidelines for patient data (if applicable)
  • Adhere to FDA guidelines and include proper disclaimers
  • Respect intellectual property rights

Brand Guidelines

Partners must:

  • Use approved branding and marketing materials
  • Not misrepresent the platform capabilities
  • Include all required medical and legal disclaimers
  • Maintain professional standards in all communications

Data Security

Partners must:

  • Implement appropriate security measures
  • Report any data breaches within 24 hours
  • Comply with GDPR, CCPA, and other privacy laws
  • Use secure API authentication methods

5. API Terms

Rate Limits

API access is subject to rate limits based on partnership tier:

  • Basic: 1,000 requests/hour
  • Professional: 10,000 requests/hour
  • Enterprise: Custom limits

API Key Management

Partners must:

  • Keep API keys confidential
  • Rotate keys regularly (at least annually)
  • Not share keys with unauthorized parties
  • Implement secure key storage

Prohibited Uses

Partners may not:

  • Reverse engineer the API or platform
  • Use the API to build competitive products
  • Exceed rate limits through multiple accounts
  • Access data belonging to other partners
  • Scrape or harvest user data improperly

6. Intellectual Property

The Platform retains all intellectual property rights to the core technology, codebase, and proprietary algorithms. Partners receive a limited, non-exclusive license to use the platform for the duration of the partnership.

7. Support and Maintenance

Platform Support

  • Technical support via email and chat
  • Regular platform updates and security patches
  • 99.9% uptime SLA
  • Dedicated partner success manager (Enterprise)

Partner Responsibilities

  • First-line customer support for end users
  • Content management and customization
  • Marketing and user acquisition

8. Term and Termination

Agreement Term

This agreement begins on the effective date and continues on a month-to-month basis (or annual basis if paid yearly) until terminated by either party.

Termination

Either party may terminate with 30 days written notice. Immediate termination may occur if:

  • Partner breaches terms and fails to cure within 15 days
  • Partner engages in fraudulent activity
  • Partner violates health/medical regulations
  • Partner's account is 60+ days overdue

Post-Termination

Upon termination:

  • All API access is immediately revoked
  • Partner must cease use of platform branding
  • Outstanding fees become immediately due
  • User data export available for 30 days

9. Liability and Indemnification

Limitation of Liability

Platform liability is limited to fees paid in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages.

Partner Indemnification

Partners indemnify the Platform against claims arising from:

  • Partner's use of the platform
  • Partner's violation of terms
  • Partner's medical or health services
  • Partner's marketing or representations

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, including technical specifications, pricing, user data, and business strategies.

11. Compliance Certifications

Our platform maintains the following compliance standards:

  • HIPAA: Health Insurance Portability and Accountability Act compliance
  • GDPR: General Data Protection Regulation ready
  • SOC 2 Type II: Security and availability controls audited
  • SSL/TLS: All data encrypted in transit

12. Amendments

We may update these terms with 30 days notice. Continued use after changes constitutes acceptance of new terms.

13. Governing Law

These terms are governed by the laws of [Your Jurisdiction]. Disputes will be resolved through binding arbitration.
